Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and VerityLabs LLC ("VerityLabs," "we," "us," or "our"), governing your access to and use of Agent Factory, including our website, our AI-agent chat interface, our custom-build and hosting services, and any related tools we make available (together, the "Services").
By creating an account, starting a scope conversation, making a payment, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, and capable of forming a binding contract, to use the Services. By using the Services, you represent that you meet these requirements. The Services are intended for business and professional use; we do not knowingly collect information from anyone under 18.
2. What Agent Factory Does
Agent Factory helps you design, build, and operate custom AI agents. Depending on how you use the Services, this may include: a conversational interface where an AI agent works on tasks you describe ("Agent Chat"); a guided scoping conversation that produces a written project scope and a fixed price ("Get a Quote"); paid custom development and, where applicable, hosting of the resulting agent or infrastructure; and optional integrations you may choose to connect, such as WordPress, Google Drive/Gmail, Telegram, Discord, or email, so your agent can act on services you already use.
The Services are built on top of Anthropic's Claude models, accessed through Anthropic's API. When you use Agent Chat, the text and files you send ("Inputs") are transmitted to Anthropic for processing, and the responses generated ("Outputs") are returned to you through our Services. See Section 3 of our Privacy Policy for more detail on this and our other subprocessors, and Section 9 below for the usage restrictions that apply on top of our own because of this.
3. Accounts
Some parts of the Services can be used without an account, subject to daily usage limits we may change at any time. To use the full Services — including saving your conversation across devices, purchasing a build, or subscribing to a plan — you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
4. Fees, Deposits, and Subscriptions
Certain Services require payment, processed through our payment provider, Stripe. Depending on what you purchase:
- A custom build is quoted through the Get a Quote flow. A deposit, charged at checkout, is required before work begins on a custom build; the deposit amount and any remaining balance will be disclosed to you before you pay.
- A maintenance subscription is a recurring monthly fee for hosting and upkeep of a specific build we host on your behalf, set once the scope of that hosting is known.
- A tier subscription (Starter, Pro, or Business) is a recurring monthly fee for ongoing access to Agent Chat, which grants a monthly allotment of usage.
All fees are quoted in U.S. dollars and are non-refundable except as required by law or as we otherwise state in writing at the time of purchase. Subscriptions renew automatically each billing period until you cancel; cancelling stops future renewals but does not refund the period already paid for. We may change our prices for future billing periods with reasonable advance notice.
5. Human Review and Approvals
Because an AI agent can take real actions — running commands, editing files, sending messages, spending money, or provisioning infrastructure — certain categories of action are designed to pause and ask for your explicit approval, or an approval from VerityLabs where the action affects the platform as a whole, before they happen. You are responsible for reviewing what you approve. You may, at your own discretion, choose to pre-approve categories of repeated, low-risk actions for the remainder of a session ("session trust"); doing so is your decision alone, is revocable by you at any time, and does not reduce our disclaimers or our limitation of liability below.
6. Your Content
As between you and us, you retain all rights you already had in the Inputs you submit and, subject to Anthropic's own terms governing the underlying model, in the Outputs you receive. You grant us a limited license to host, process, transmit, and display your Inputs and Outputs solely as necessary to provide, maintain, and improve the Services, and to comply with law. You are solely responsible for your Inputs and for any consequences of publishing, deploying, or acting on any Output.
Where you connect a third-party account or service — a WordPress site, a Google account, a messaging platform — you represent that you have the right to grant us access to it for the purpose you request, and you remain responsible for what happens on that third-party service as a result.
7. Credentials You Provide
Building or operating your agent may require you to provide credentials — passwords, API keys, application passwords, or similar secrets — for third-party services you want the agent to use on your behalf. We store these credentials encrypted, and our design intent is that the agent uses a credential to act without ever displaying that credential in its own output or conversation. You remain responsible for the credentials you provide, including rotating or revoking them if you believe they have been compromised, and for limiting the credential to the minimum access it needs.
8. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation, or the rights of any third party;
- Generate, request, or facilitate the creation of malicious code, malware, or content intended to gain unauthorized access to any system;
- Attempt to bypass, disable, or interfere with the approval gate, usage limits, or other safety or billing controls of the Services;
- Use the Services to build a product or service that competes with Agent Factory, or to train a competing AI model on Outputs obtained through the Services;
- Harass, abuse, defraud, or deceive any person, or impersonate any person or entity;
- Provide credentials or access you are not authorized to provide;
- Probe, scan, or test the vulnerability of the Services, or attempt to access data not intended for you.
Because the Services process your Inputs through Anthropic's API, your use is also subject to Anthropic's Usage Policy. We may suspend or terminate your access for violating either policy.
9. Intellectual Property
The Services themselves — our software, branding, and the Agent Factory platform — are our property or that of our licensors, and these Terms do not grant you any right to them beyond what is necessary to use the Services as intended.
10. Disclaimers
THE SERVICES, INCLUDING ANY OUTPUT GENERATED THROUGH THEM, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE FOR YOUR PURPOSE, AND YOU ARE SOLELY RESPONSIBLE FOR EVALUATING IT BEFORE RELYING ON IT, PUBLISHING IT, OR ACTING ON IT — INCLUDING ANY OUTPUT THAT MODIFIES A LIVE SITE, SENDS A MESSAGE, OR SPENDS MONEY ON YOUR BEHALF, EVEN WHERE YOU APPROVED IT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERITYLABS AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us, or if required by law. Sections of these Terms that by their nature should survive termination — including Sections 9, 10, 11, and 14 — will survive.
13. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date above and, where required by law or where the change is significant, notify you by email or through the Services. Continuing to use the Services after a change takes effect means you accept the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of [VerityLabs LLC is formed in Hawaii; a Wyoming holding company structure is understood to lease/license into VerityLabs rather than operate Agent Factory directly, which points toward Hawaii as the operating/contracting entity's state — BUT THIS IS NOT YET CONFIRMED AS FINAL. The leasing/licensing relationship between the two entities may carry its own liability implications; confirm the governing state (and whether the holding company needs to be named anywhere in these Terms) with counsel once the structure is settled.], without regard to its conflict-of-laws principles.
